Oleksii Semeniuk, Chairman of the NSSMC, writes about this in a column for Forbes Ukraine titled “Making Capital Work Twice: What the Newly Approved Securitization Law Changes.”

According to the latest estimates by the World Bank, the Government of Ukraine, the European Commission, and the United Nations, Ukraine’s recovery and reconstruction needs over the next ten years amount to nearly USD 588 billion. The private sector could potentially provide about 40% of the necessary funding.

That is precisely why one of Ukraine’s key tasks is to create mechanisms that will allow private capital to be mobilized more effectively and channeled into the economy.

One such mechanism is securitization.

The logic behind this is that loans and other assets can be pooled together, and funds are raised from investors based on the cash flows generated by that pool. This allows financial institutions to free up resources for new lending.

“Capital that is already active in the economy helps attract further capital. This is one of the main advantages of securitization,” notes Oleksii Semeniuk.

On 16 September, the Verkhovna Rada adopted the Law of Ukraine No. 15172 “On Securitization and Covered Bonds,” which the Commission had drafted in collaboration with the Verkhovna Rada Committee on Finance, Tax, and Customs Policy.

The new law creates a legal framework for the development in Ukraine of financial instruments that have long been used in the European financial markets.

In his column, the Chairman of the NSSMC highlights five key opportunities presented by the development of securitization: the reuse of capital for new lending, the integration of the banking sector with the capital markets, the attraction of long-term financing, the expansion of investment options for investors, and the launch of covered bonds.

Contracts concluded in Europe are already demonstrating the potential of such a mechanism. In particular, in 2025, the Dutch bank ABN AMRO, together with the European Investment Bank Group, conducted a synthetic securitization of a business loan portfolio worth over EUR 1 billion. Transferring a portion of the credit risk allowed the bank to free up capital and commit to channeling EUR 1.2 billion in new financing to small and medium-sized businesses and mid-cap companies.

At the same time, the passage of the law is only the first step. For a fully-fledged securitization market to emerge in Ukraine, the country needs implementing regulations, clear rules, high-quality assets, issuers, investors, a professional infrastructure, and trust in this new instrument.

“Every tool has its own function. But the logic is the same: capital must flow to where it creates new economic value,” emphasizes the Chairman of the NSSMC.

Read Oleksii Semeniuk’s full column in Forbes Ukraine: “Making Capital Work Twice: What the Newly Approved Securitization Law Changes”

Securitization could become one of the mechanisms for attracting private capital to finance businesses, housing, energy, infrastructure, and Ukraine’s future reconstruction.
