ACTIVITIES ON MORTGAGE COLLATERAL MANAGEMENT are activities carried out by the mortgagee on its behalf for a fee within a specified time period on the basis of an agreement on mortgage collateral management, and provide for the representation of the interests of mortgage bond holders, control over the observance of the conditions for the replacement of mortgage assets or the inclusion of new mortgage assets into the mortgage collateral, monitoring of the timeliness and completeness of the payments by the issuer under ordinary mortgage bonds, ensurance of compliance of mortgage collateral with the requirements of the legislation, performance of other functions determined by the law.
The mortgagee has the right to conduct an audit of the mortgage register at any time during the period of circulation of ordinary mortgage bonds at its own discretion. The purpose of such an audit is to familiarize with changes that have been introduced in the mortgage register, review the compliance of the issuer with the conditions for the formation of mortgage collateral in accordance with the Law “On Mortgage Bonds” and the Regulation on Mortgage Collateral of Ordinary Mortgage Bonds. Based on the results of such an audit of the mortgage collateral register, a written report in an arbitrary form must be prepared.
The mortgagee does not have the right, in its own interests, to use and dispose of the mortgage collateral, as well as to carry out any mortgage transactions outside the limits of the powers provided for by the Law “On Mortgage Bonds” and the mortgage management agreement.
The mortgage management agreement is concluded for a period until the termination of mortgage collateral, which cannot be less than the maturity of mortgage bonds.

The mortgagee may be a financial institution that has obtained a license to carry out professional activities in the securities market, i. e. mortgage management activities.
The licensee (other than the bank) for the management of the mortgage collateral must own or use non-residential premises, which is completely separated from the premises of other legal entities, at the location specified in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organizations of Ukraine.
The functions of maintaining the register of mortgage collateral and ensuring the maintenance of the register of holders of structured mortgage bonds must be carried out in the customer service area.
The premises in which the licensee carries out activities to manage the mortgage collateral must have a degree of protection that allows preserving the confidentiality of information on all issues of mortgage bonds and their mortgage collateral received by the mortgagee in the performance of its functions.
The customer service area in which computer equipment is installed and the archive containing the data of the system of registers of mortgage collateral of structured mortgage bonds and holders of structured mortgage bonds, both in paper form and in the form of records in electronic databases, is located, must be reliably protected from an unauthorized access by third parties and equipped with burglar and fire alarm systems. Access to computer equipment containing the information of the register and the archive is provided only to the authorized employees identified by the relevant order, according to the approved job descriptions of such employees and in accordance with the internal order of the maintenance system of these registers.
The licensee, who is entitled by law to combine the activities of managing the mortgage collateral with other activities in the financial services market (including the securities market), must organize these activities as part of a separate structural unit acting on the basis of the relevant provision on this unit, and must perform exclusively the functions on the management of the mortgage collateral.
The head of the licensee (other than the bank) carrying out the activity for managing the mortgage collateral must have worked in senior positions in the financial institution for at least three years.
The head of the licensee, its separate or specialized structural units in the course of managing mortgage collateral cannot simultaneously hold positions in other professional participants of the stock market.
Certified experts of the licensee (including senior officials), of its separate units and/or specialized structural units in the management of mortgage collateral must meet the qualification requirements established upon obtaining a license.
The licensee must no later than April 30 of the year following the reporting period disclose the annual financial statements and the annual consolidated financial statements certified by the applicant (except for the bank and the companies in which the reporting period (year) did not come from the date of establishment), along with an audit report on its own webpage or website (in full) with publication (if provided by law) in periodical or non-periodical publications.
The audit report published by the licensee must comply with The Requirements for an Audit Report, Submitted to the National Securities and Stock Market Commission When Obtaining a License to Carry out Professional Activities in the Securities Market.
To conduct an audit, the licensee engages an audit firm included in the register of audit firms that can conduct audits of professional securities market participants, maintained by the Commission.
The specified information must be made available as PDF files freely available 24/7 on its own webpage or website for each reporting period and be present on such a webpage or website for five years from the date of the publication.
Within five working days after the publication of the annual financial statements and the annual consolidated financial statements along with the audit report, the licensee must inform the Commission thereof in writing, in an arbitrary form, specifying the webpage or website, periodical or non-periodical publication (if any) where the specified information was made public.
