Key NSSMC decisions dated 05 Dec 2025

Within the scope of regulatory activities, the Commission:

• approved the Amendments to the Rulemaking Plan of the National Securities and Stock Market Commission for 2025;
• approved the draft Resolution of the National Securities and Stock Market Commission “On Amendments to the Resolution of the National Securities and Stock Market Commission No. 1284 dated 25 September 2012”;
• approved the draft Resolution of the National Securities and Stock Market Commission “On Amendments to the Resolution of the National Securities and Stock Market Commission No. 2605 dated November 19, 2013”;
• approved amendments to the draft NSSMC Resolution “On Amendments to the Procedure for Appointment by the National Securities and Stock Market Commission of a Temporary Head of the Executive Body of a Professional Participant in Capital Markets, a Professional Participant in an Organized Commodity Market, a Person Engaged in Activities Related to Capital Markets and Organized Commodity Markets for the Period of Martial Law.”

Within the scope of supervision, the Commission:

• prohibited to make changes to the depository accounting system, to perform and/or execute transactions involving securities;
• prohibited to make changes to the depositary accounting system, perform and/or execute transactions involving securities of ZNKIF PRIME ASSETS CAPITAL PJSC.

On registration and licensing issues, the Commission:

• registered the issue of shares of Ukraynskyi protsesinhovyi tsentr PrJSC;
• registered the issue of shares of SK KRAINA JSC (without a public offering);
• approved Appendix No. 7 to the base prospectus of corporate bonds of FK Aktivitis LLC;
• approved the Amendments to the Decision on the issue of Series M bonds, Amendments to the Decision on the issue of Series N bonds, Amendments to the Decision on the issue of Series O bonds, Amendments to the Decision on the issue of Series Q bonds, Amendments to the Decision on the issue of Series S bonds, Amendments to the Decision on the issue of Series T bonds of ULF-FINANCE LLC;
• approved the draft charter and registration of the issue of shares of ZNVKIF AV INVESTMENTS JSC, ZNVKIF ARUNA JSC, ZNVKIF DAS-GROUP JSC, ZNVKIF AYE CAPITAL JSC, ZNVKIF AVELINO JSC, ZNVKIF KONSTANTA CAPITAL JSC, ZNVKIF NORVIAN JSC, ZNVKIF SKYLIS JSC for the purpose of forming the initial authorized capital;
• registered the issue of shares of ZNVKIF ISTEITIKO JSC for joint investment purposes and the prospectus for the issue of these shares;
• registered changes to the prospectus for the issue of shares, regulations, registration of the issue of shares of ZNVKIF SOMERSET JSC and replacement of the certificate of registration of the issue of shares of a corporate investment fund.
