Key NSSMC decisions dated 25 Mar 2026

In its rulemaking capacity, the Commission:

● approved a Resolution regarding the draft Law of Ukraine “On Amendments to the Land Code of Ukraine and Other Legislative Acts Concerning the Improvement of Conditions for the Transfer of Property Rights to Land Plots”;
● approved a Resolution regarding the draft Law of Ukraine “On Amendments to Certain Laws of Ukraine Concerning the Provision of Cloud Services and Data Center Services”;
● approved the Amendments to the NSSMC Rulemaking Plan for 2026;
● approved the Regulations on the recording and legal investigation of cases of administrative offenses by the NSSMC;
● declared certain NSSMC decisions null and void;
● approved the Procedure for controlled service provision by the NSSMC;
● approved the Procedure for appointing and dismissing NSSMC supervisors;
● approved the Procedure for conducting inspections in capital markets and organized commodity markets;
● approved the Procedure for conducting investigations in capital markets and organized commodity markets;
● amended the NSSMC Regulation No. 15/21/3611/K04 dated 29 January 2026;
● approved the draft NSSMC Resolution “On Amending the NSSMC Resolution No. 2606 of 19 November 2013”;
● approved the draft NSSMC Resolution “On Approval of the Regulations on Insider Information and Its Disclosure in Capital Markets”;
● amended the Procedure for providing information by the NSSMC in response to requests from the State Enforcement Service and Private Enforcement Officers;
● approved the draft NSSMC Resolution “On the Approval of the Sectoral Security Profile”;
● approved the draft NSSMC Resolution “On Approving the Amendments to the NSSMC Reference and Classification System”;
● reviewed the draft Resolution of the Cabinet of Ministers of Ukraine “On Amendments to the Resolution of the Cabinet of Ministers of Ukraine No. 1039 dated 28 December 2016, and the Regulation of the Cabinet of Ministers of Ukraine No. 18 dated 16 January 2017”.

In its supervisory capacity, the Commission:

● approved a Resolution on the absence of grounds for the adoption of an NSSMC Resolution regarding the approval of a person appointed to the position of Director of LLC FINANSOVA KOMPANIIA ZHYTLO-CAPITAL.

Regarding registration and licensing matters, the Commission:

● registered the issuance of shares by RIVNENSKA FABRYKA NETKANNYKH MATERIALIV PrJSC and ZAKHIDENERGOMONTAZHVENTYLIATSIYA PrJSC without a public offering;
● The issuance of registered corporate bonds of Series G and Series F (without a public offering) by TDV “YAGOTINSKY OIL PLANT” was registered;
● registered the reports on the results of the issuance of Series A, Series B, and Series C bonds by MIMIBON JSC without a public offering were registered;
● canceled the registration of the bond issue and the revoking of a certificate of registration for the Series A bond issue of TAS ENERGIYA KRAYINY JSC;
● canceled the registration of the bond issue and a certificate of registration for the Series B bond issue of NOVOODESKYI ELEVATOR LLC;
● canceled the registration of the bond issue and the revoking of the registration certificate for the Series B bond issue of 1 BEZPECHNE AGENTSTVO NEOBKHIDNYKH KREDYTIV LLC;
● registered the prospectus for the issuance and offering of investment certificates of PZNVIF STRIMKO CAPITAL of KUA PRESTIGE CAPITAL LLC;
● approved the draft charter and registration of a share issue for ZNVKIF HERCULES JSC, ZNVKIF MIRA JSC, ZNVKIF LIBRA JSC, ZNVKIF ADARA JSC, ZNVKIF ROLV WIND SOLUTION JSC, and ZNVKIF LUMI CAPITAL JSC for the purpose of forming the initial authorized capital;
● confirmed that KUA HAWK CAPITAL JSC, KORPORATSIYA STOK-TRADE LLC, and INVEST INCITI JSC comply the criteria specified in the Resolution of the Cabinet of Ministers of Ukraine No. 76 dated 27 January 2023.

Regarding the appointment of the officials of professional market participants, the Commission:

● approved a person responsible for performing the duties of Risk Manager and a person responsible for performing the duties of Compliance Manager at UPR-FINANCE LLC;
● approved a person responsible for performing the duties of Compliance Manager at ART-CAPITAL CUSTODY LLC;
● approved a person responsible for performing the duties of Compliance Manager and Risk Manager at KUA OPTIMA-CAPITAL LLC;
● approved a person elected Member of the Supervisory Board and a person responsible for performing the duties of Risk Manager at KUA-APF UKRSOC-CAPITAL LLC;
● a person elected Chairman of the Supervisory Board of STATUS ASSET CAPITAL LLC;
● a person appointed the Director of KUA INVESTCAPITAL LLC;
● approved a person appointed Internal Auditor at KUA PROFINVEST LLC;
● approved a person responsible for performing the duties of Compliance Manager and Risk Manager at KUA PATRIOT LLC;
● approved a person responsible for performing the duties of Compliance Manager at KUA FORTETSIA LLC;
● approved a person responsible for financial monitoring at KUA FORWARD LLC;
● approved a person elected Member of the Supervisory Board, a person elected Chair of the Supervisory Board, and a person responsible for performing the duties of Risk Manager, a person elected Member of the Supervisory Board and a person responsible for performing the duties of Internal Auditor of KUA TSIMEKONINVEST LLC;
● a person elected Member of the Supervisory Board of PERSHYI ADMINISTRATOR PENSIYNOHO FONDU LLC;
● a person elected Member of the Supervisory Board of KUA UDP ASSET MANAGEMENT LLC.
