Key Commission decisions dated 13 May 2026

In its rulemaking capacity, the Commission:

● endorsed the draft Regulation of the Cabinet of Ministers of Ukraine “On the Approval of the Action Plan for the Implementation of Ukraine’s Foreign Policy Strategy for 2026–2028”;
● endorsed the draft Regulation of the Cabinet of Ministers of Ukraine “On the Approval of the Concept for the Development of Cloud Services in Ukraine for the Period 2026–2031”;
● approved the NSSMC’s action plan for implementing the National Program for the Adaptation of Ukrainian Legislation to European Union Law (EU acquis);
● endorsed the draft Regulation of the Cabinet of Ministers of Ukraine “On the Approval of the State Policy Strategy in Organizing and Conducting Gambling to Minimize the Negative Impact of Gambling, Prevent the Emergence of, and Combat Gambling Addiction (ludomania) up to 2035 and the Approval of an Operational Plan of Measures for its Implementation in 2027–2029”;
● approved the Regulations on insider information and its disclosure in capital markets;
● approved the draft NSSMC Resolution “On the Approval of an Indicative (Non-Exhaustive) List of Legitimate Interests and Situations of Issuers of Financial Instruments, as Specified in Paragraphs 1 and 2 of Part Five of Article 133-1 of the Law of Ukraine ‘On Capital Markets and Organized Commodity Markets’”;
● approved the draft NSSMC Resolution “On the Approval of an Indicative (Non-Exhaustive) List of Information Whose Disclosure Is Reasonably Expected or Required in Accordance with Legislation, Market Rules, Contracts, Practice, or Custom in the Relevant Capital Markets”;
● amended the NSSMC Resolution No. 09/21/4221/K03 dated 29 April 2026;
● approved the the Regulation “On the Establishment of the Advisory Coordination Council on Corporate Governance”;
● amended the NSSMC Resolution “On the Termination, as a Result of Reorganization (Transformation), of THE STATE-OWNED ENTERPRISE THE AGENCY FOR THE DEVELOPMENT OF THE STOCK MARKET INFRASTRUCTURE OF UKRAINE” (legal entity ID 21676262) dated 06 May 2026 No. 26/21/4306/K01;
● regarding the participation of an authorized representative in the extraordinary remote general meeting of shareholders of National Depository of Ukraine PJSC, scheduled for 25 May 2026;
● updated the membership list of the NSSMC Committee on Supervision and Control over the Functioning of Capital Markets and Organized Commodity Markets;
● approved the Regulation “On the Commission for the Selection of Authorized Persons of the National Securities and Stock Market Commission”.

In its supervisory capacity, the Commission:

● granted a separate permit to conduct a comprehensive list of transactions involving securities owned by Ukrteralliance LLC;
● granted a separate permit to perform a depository transaction — the closure of a securities account belonging to TOP-TRANS LLC.

Regarding registering and licensing issues, the Commission:

● registered the issuance of shares by ZNVKIF AMADEY JSC, carried out for the purpose of joint investment, and the prospectus for the issuance of these shares;
● canceled the registration of the issuance (issuances) of investment certificates, the prospectus (prospectuses) for the issuance of investment certificates, and terminated a registration certificate for the issuance of investment certificates of the closed-end non-diversified venture capital investment fund Solar Invest of KUA TASK-INVEST LLC;
● approved the draft charter and registration of the issue of shares of ZNVKIF MAXIMA JSC, ZNVKIF TAKHION JSC, ZNVKIF GARBOR F JSC, ZNVKIF DENAR JSC, ZNVKIF VALENSO JSC, ZNVKIF BELLAGIO JSC, ZNVKIF LORENTI JSC, ZNVKIF NORVEL JSC, ZNVKIF EDMONTON JSC, and ZNVKIF MIRAI JSC for the purpose of forming the initial authorized capital;
● registered a report on the results of the issuance of registered corporate bonds (without a public offering) and canceled the registration of the Series B bond issue of BAVARIA MOTORS LLC;
● registered a report on the results of the issuance of registered corporate bonds (without a public offering) and canceled the registration of the Series C bond issue of BAVARIA MOTORS LLC;
● registered a report on the results of the issuance of shares without a public offering of CENTRAVIS PRODUCTION UKRAINE PrJSC;
● registered a report on the results of the issuance of registered corporate bonds of Series F1 by ULF-FINANCE LLC, issued through a public offering;
● canceled the registration of the bond issue by TECHNOCOM LLC and revoked a certificate of registration for the bond issue;
● approved Appendix No. 2 to the prospectus for Series N corporate bonds, Appendix No. 6 to the prospectus for Series M corporate bonds, and Appendix No. 11 to the prospectus for Series L corporate bonds, Appendix No. 13 to the prospectus for Series D corporate bonds, and Appendix No. 13 to the prospectus for Series E corporate bonds of NovaPay Credit LLC;
● approved Appendix No. 4 to the prospectus for Series E1 corporate bonds of ULF-FINANCE LLC;
● registered the issuance of registered Series A corporate bonds of EXIMLEASING LLC (without a public offering);
● confirmed that KUA INVESTYTSIYNIY DIM LLC complies with the criteria specified in the Resolution of the Cabinet of Ministers of Ukraine No. 76 dated 27 January 2023.

Regarding the appointment of the officials of professional market participants, the Commission:

● approved the person responsible for performing the duties of Risk Manager and Compliance Manager at VSEUKRAYINSYI ADMINISTRATOR PENSIYNYKH FONDIV LLC;
● approved the person responsible for performing the duties of Risk Manager at KUA STANDARD-CAPITAL LLC;
● approved the person responsible for performing the duties of Compliance Manager at KUA PORTOFIN LLC;
● approved the person responsible for performing the duties of Compliance Manager and the person responsible for performing the duties of Risk Manager at FINANSOVA KOMPANIIA KNAHYNIA YAROSLAVNA PrJSC;
● approved the person responsible for performing the duties of Risk Manager and the person responsible for performing the duties of Compliance Manager at KUA LD ASSET MANAGEMENT LLC;
● approved the Internal Auditor and the person responsible for performing the duties of Risk Manager and Compliance Manager at KUA LVIV CAPITAL LLC;
● approved the Internal Auditor, Risk Manager, and the person responsible for performing the duties of Compliance Manager at KUA MTIR ASSET MANAGEMENT LLC;
● approved the person responsible for performing the duties of Compliance Manager at MANGEMENT TREASURE TRADING LIMITED LLC;
● approved the Internal Auditor of BULL-SPREAD LLC;
● approved the person responsible for performing the duties of Risk Manager at PRO CAPITAL SECURITIES LLC;
● approved the Compliance Officer of ONIX-IVA LLC;
● approved the Compliance Manager of TESLA CAPITAL MANAGEMENT LLC.
