NSSMC decisions dated 22 May 2026

In its rulemaking capacity, the Commission:

● approved a Commission reference note on the draft Law of Ukraine “On Amendments to the Law of Ukraine ‘On Preventing and Combating the L egalization (Laundering) of Proceeds from Crime, the Financing of Terrorism, and the Financing of the Proliferation of Weapons of Mass Destruction” regarding the improvement of legal regulation of services provided to politically exposed persons” (Registration No. 15252 dated 15 May 2026);
● approved a Commission reference note on the draft Law of Ukraine “On Amendments to the Law of Ukraine ‘On Preventing and Combating the Legalization (Laundering) of Proceeds from Crime, the Financing of Terrorism, and the Financing of the Proliferation of Weapons of Mass Destruction” Regarding the Improvement of the Application of a Risk-Based Approach in Financial Monitoring” (Registration No. 15228 dated 12 May 2026);
● approved a Commission reference note on the draft Law of Ukraine “On Securitization and Covered Bonds” (registration No. 15172 dated 13 April 2026);
● approved a Commission reference note on the draft Law of Ukraine “On Amendments to the Tax Code of Ukraine Regarding the Regulation of Legal Relations Concerning Securitization and the Issuance of Covered Bonds” (registration No. 15173 dated 13 April 2026).

In its supervisory capacity, the Commission:

● imposed restrictions on securities of joint-stock companies, securities of partnerships, and securities of joint investment institutions;
● lifted restrictions on securities of Kyivmiskoformlennya PrJSC.

Regarding registration and licensing matters, the Commission:

● registered changes to the offering prospectus, the registration of the share issue of ZNVKIF MICROFINTECH JSC, and the replacement of a certificate of registration for the share issue of a corporate investment fund;
● approved the draft charter and registered the issuance of shares of ZNVKIF HOMELAND JSC, ZNVKIF BUREVIY INVEST JSC, ZNVKIF KG INVEST JSC and ZNVKIF TERRALIS JSC for the purpose of forming the initial authorized capital;
● registered the issue of Series O registered corporate bonds of NovaPay Credit LLC and approved the prospectus;
● registered a report on the results of the issuance of Series N corporate bonds of NovaPay Credit LLC, issued through a public offering;
● replaced a registration certificate for the issuance of ordinary shares, and canceled the registration of the issuance of preferred shares of PROCREDIT BANK JSC.
