Key NSSMC decisions dated 16 Dec 2025

Within the scope of regulatory activities, the Commission:

• approved a Commission reference note on the draft Law of Ukraine “On Digital Accessibility in Ukraine” (registration No. 14278 dated 05 December 2025);
• approved the Amendments to the NSSMC Rulemaking Plan for 2025;
• approved the draft NSSMC Resolution “On Approval of Amendments to Certain Regulatory Legal Acts of the National Securities and Stock Market Commission Regarding the Submission of Financial Statements”;
• approved the Regulations on self-regulatory organizations of professional capital market participants and the Amendments to the licensing conditions for professional activities in capital markets;
• approved the Procedure for disclosure of information on legal transactions by management;
• approved the draft NSSMC Resolution “On Approval of the Regulations on the Administration of a Non-State Pension Fund”;
• repealed certain regulatory legal acts of the State Securities and Stock Market Commission and the National Securities and Stock Market Commission;
• approved the draft NSSMC Resolution “On Approval of the Regulations on Open Selection (Competition) for Positions of Authorized Persons of the National Securities and Stock Market Commission”;
• approved the NSSMC Rulemaking Plan for 2026;
• approved a Commission reference note on the draft Law of Ukraine “On Amendments to Certain Laws of Ukraine Regarding the Improvement of Legal Regulation of the Activities of the Economic Security Bureau of Ukraine” (registration No. 14207-1 dated 27 November 2025).

Within the scope of supervision, the Commission:

• issued approval for an extraordinary remote general meeting of National Depository of Ukraine PJSC;
• prohibited the conclusion and/or execution of legal transactions involving securities, and making changes to the depository accounting system for securities of PIVDENNY HIRNYCHOZBAHACHUVALNYI KOMBINAT.

Regarding registration and licensing issues, the Commission:

• confirmed that ARTA UPRAVLINNIA AKTYVAMY LLC and KUA BONUM GROUP LLC comply with the criteria specified in Resolution of the Cabinet of Ministers of Ukraine No. 76 dated January 27, 2023;
• registered a report on the results of the share issue without a public offering by TERNOPILSKYI MOLOKOZAVOD PrJSC;
• approved Appendix No. 2 to the prospectus for Series B corporate bonds of FINANSOVA KOMPANIYA SUPPLY CHAIN FINANCE LLC;
• approved the Amendments to the Decision on the issue of Series C bonds of CREDITSERVICE LLC;
• approved the intention to increase the significant participation of TAKT-BIZ LLC in the professional participant of organized commodity markets Ukrainska Energetychna Birzha LLC and in the professional participant of capital markets Ukrainsky Klirynhovyi Dim LLC;
• registered the issue of shares of ZNVKIF STRONG JSC and ZNVKIF PRAGMATIC CAPITAL LLC, carried out for the purpose of joint investment, and the prospectus for the issue of these shares;
• registered the prospectus and issue of investment certificates of ZKPIFN ABF-NERUKHOMIST of KUA ARIVO ASSET MANAGEMENT LLC;
• approved the draft charter and registration of the issue of shares of ZNVKIF SOBEX INVEST LLC, ZNVKIF BRETON GROUP LLC, and ZNVKIF DAGON JSC for the purpose of forming the initial authorized capital;
• approval of the intention to acquire a significant stake by two persons in the professional participant of capital markets LLC “ELLIOTT ASSET MANAGEMENT”;
• declined to approve the intention to acquire a significant stake by a person in the professional participant of capital markets KUA PARTNER-INVEST LLC.
