Key NSSMC decisions dated 28 Nov 2025

Within the scope of regulatory activities, the Commission:

• approved its clarification “On the application of the provisions of paragraph 11 of part twenty-four of Article 48 of the Law of Ukraine ‘On Joint Investment Institutions’”;
• approved the draft Resolution of the Board of the National Bank of Ukraine “On Amendments to the Resolution of the Board of the National Bank of Ukraine No. 85 dated 25 June 2020, and Recognition of Certain Regulatory Legal Acts as No Longer Valid”;
• considered the draft Resolution of the Cabinet of Ministers of Ukraine “The Issues of the Joint-Stock Company ‘Natsionalna Aktsionerna Kompaniya Naftogaz Ukrainy’”;
• approved amendments to the Rulemaking Plan of the National Securities and Stock Market Commission for 2025;
• approved the draft Resolution of the National Securities and Stock Market Commission “On Providing by Participants in the Capital Market and Organized Commodity Markets the National Securities and Stock Market Commission with Financial Reporting for the Purpose of Receiving Administrative Services during Martial Law.”

Within the scope of supervision, the Commission:

• made changes to the list of assets, including cash belonging to clients/depositors of FREEDOM FINANCE UKRAINE LLC, to which the sanction of “asset freezing” was applied;
• The schedule of inspections of primary financial monitoring entities by the National Securities and Stock Market Commission for 2026 was approved.

Regarding registration and licensing issues, the Commission:

• found that IK BUSINESS-INVEST LLC complies with the criteria specified in the Resolution of the Cabinet of Ministers of Ukraine No. 76 dated 27 January 2023;
• approved the draft charter and registration of the issue of shares of ZNVKIF TIM CAPITAL JSC for the purpose of forming the initial authorized capital;
• approved the draft charter and registration of the issue of shares of ZNVKIF SOCIUM INVEST JSC for the purpose of forming the initial authorized capital.

Regarding the appointment of officials at professional market participants, the Commission:

• approved the person responsible for performing the functions of Risk Manager at Ukrainska Torhova Platforma LLC;
• approved the Director of SOKRAT FK LLC;
• approved the person appointed as Internal Auditor, the person assigned the functions of Compliance Manager and Risk Manager at KUA IVEX ASSET MANAGEMENT LLC;
• approved a member of the Supervisory Board and the person assigned the functions of Risk Manager at KUA SUCHASNI FINANSOVI INSTRUMENTY LLC;
• approved the person appointed as Chief Accountant at KUA DOBROBUD-INVEST LLC;
• approve the person assigned the functions of Risk Manager and the person appointed as Internal Auditor at KUA INVESTYTSIYNYI DIM LLC;
• approved the person assigned the functions of Risk Manager, the person assigned the functions of Compliance Manager at KUA ALTUS ASSETS ACTIVITIES LLC.
