The National Securities and Stock Market Commission announces the possibility of issuing corporate bonds using a base prospectus, which significantly simplifies the issuance process and increases the efficiency of raising funds on the capital market.

If an issuer intends to carry out more than one issue of corporate bonds through a public offering, such issuer can prepare a base prospectus. It contains all material information about the issuer and general information about corporate bonds, in respect of which bond issues will be carried out in the future through a public offering.

The Commission’s approval of the base prospectus allows the issuer to subsequently issue several series of bonds, referring to it, with only the final terms and conditions for each individual issue of corporate bonds to be specified, which must include the term and procedure for placement, payment of income, redemption of bonds, etc.

Advantages of a base prospectus:
• during the period of validity of a base prospectus, an issuer may issue several corporate bonds through a public offering, drawing up only the Final Terms for each individual issue;
• the period for reviewing documents for the registration of subsequent issues and approval of the Final Terms is reduced to 10 business days;
• the issuer’s costs are reduced, since changes need to be made to only one document – the base prospectus – rather than to several separate prospectuses;
• investors will have a possibility to familiarize themselves in advance with the issuer’s activities, its ownership structure, risks, and plans for the future.

It is worth noting that in February 2025, Ukraine registered its first bond issue with a base prospectus. This was an important step towards developing the corporate bond market and increasing its attractiveness to businesses.
