Key NSSMC decisions dated 04 Mar 2026

Within the scope of regulatory activities, the Commission:

● as regards the draft Law of Ukraine “On Amendments to Certain Legislative Acts Regarding the Attraction of Strategic Foreign Investors to the Infrastructure of Capital Markets of Ukraine”;
● endorsed the draft Resolution of the Cabinet of Ministers of Ukraine “On Approval of the National Program for the Adaptation of Ukrainian Legislation to European Union Law (EU acquis)”;
● amended the Procedure for approving persons appointed to the position of head of a professional participant in capital markets and organized commodity markets, officials of the internal control system, and persons responsible for financial monitoring;
● approved the Amendments to the NSSMC Rulemaking Plan for 2026;
● approved the draft NSSMC Resolution “On the Specifics of Concluding and Executing Transactions with Ukrainian Sovereign Eurobonds during Martial Law”;
● approved the draft NSSMC Resolution “On Approval of the Regulations on Financial Monitoring by Primary Financial Monitoring Entities, the State Regulation and Supervision of Whose Activities is Carried Out by the National Securities and Stock Market Commission”;
● amended the Regulations on open selection (competition) for positions of NSSMC authorized persons.

Within the scope of supervision, the Commission:

● updated a list of assets, including cash belonging to clients/depositors of FREEDOM FINANCE UKRAINE LLC, to which the sanction of “asset freezing” is applied;
● reviewed the draft Regulation of the Cabinet of Ministers of Ukraine “On Approval of the Personal Composition of the Commission for the Selection of a Complex Asset Manager”.

Regarding registration and licensing issues, the Commission:

● lifted restrictions on securities of ATP 13058 PrJSC;
● registered the issue of shares of Fond Dekarbonizatsii Ukrainy (without a public offering);
● registered a report on the results of the issue of shares without a public offering by TEPLYCHNY KOMBINAT PJSC;
● registered a report on the results of the issue of Series A corporate bonds by DRIVE LEASING LLC;
● registered changes to the Rules for conducting clearing activities of PJSC “Rozrakhunkovyi tsentr z obsluhovuvannia dohovoriv na finansovykh rynkakh;
● issued a license for professional activities on capital markets — depositary activities, namely depositary activities of the depositary institution BANK INVESTYTSIY TA ZAOSHCHADZHEN JSC;
● registered the issue of shares of ZNVKIF GOLDINVEST JSC for joint investment purposes and the prospectus for the issue of these shares;
● approved the draft statutes and registration of the issue of shares of ZNVKIF SPADSHCHYNA JSC and ZNVKIF FOOD INVEST for the purpose of forming the initial authorized capital;
● canceled the registration of the issue of shares and revoked a temporary certificate of registration of the issue of shares for the purpose of forming the initial authorized capital of ZNVKIF TOWER INVEST;
● confirmed that SMART BOND. UA LLC, KUA PHOENIX-CAPITAL LLC, FK PHOENIX-UKRAINE LLC, and KUA FARLONG LLC comply with the criteria specified in Resolution No. 76 of the Cabinet of Ministers of Ukraine dated 27 January 2023.

Regarding appointment of officials at professional market participants, the Commission:

● approved a Member of the Supervisory Board of NATIONAL DEPOSITARY OF UKRAINE LLC;
● approved a person responsible for performing the duties of Risk Manager at REAKOMP-INVEST LLC;
● approved the Internal Auditor and a person responsible for performing the duties of Compliance Manager at REAKOMP-INVEST LLC;
● approved the intention to acquire a qualifying holding by persons/entities in professional participants of capital markets KUA EFEKTYVNI INVESTYTSII LLC and KUA COIN GROUP LLC;
● approved a person responsible for financial monitoring and a person responsible for the duties of Risk Manager and Compliance Manager, as well as Internal Auditor of KUA INVESTCAPITAL LLC;
● approved the persons responsible for performing the duties of Compliance Manager and persons responsible for performing the duties of Risk Manager at FK FINBUD LLC and KUA AKTIV INVEST LLC;
● approved a person appointed to the position of Risk and Compliance Manager at FK ECO-DIM LLC;
● approved a person appointed to the position of Compliance Manager and a person responsible for performing the duties of Risk Manager at KUA-APF FINCOM ASSET MANAGEMENT LLC;
● approved a person responsible for performing the duties of Risk Manager and Compliance Manager at KUA CAPSTONE CAPITAL LLC.

Also, the Commission endorsed a decision on the composition of the College of the SOE Agency for the Development of the Stock Market Infrastructure of Ukraine.
