Key NSSMC decision dated 04 Nov 2025

Within the scope of regulatory activities, the Commission:

approved the draft NSSMC Resolution “On Approval of the Procedure for Authorization of a Rating Agency and Maintenance of the Register of Authorized Rating Agencies”;

approved the draft NSSMC Resolution “On Approval of the Regulations on Disclosure of Information by Authorized Rating Agencies”;

approved the draft NSSMC Resolution “On Approval of the Procedure for Calculating the Number of Voting Shares (Stocks) Belonging to a Natural or Legal Person in Accordance with the Financial Instruments Provided for in Part ten of Article 29 of the Law of Ukraine ”On Rating”;

approved he draft NSSMC Resolution “On Compliance with the Requirements of Part ten of Article 29 of the Law of Ukraine ‘On Rating’ regarding the Publication of an Indicative (Non-exhaustive) List of Financial Instruments”;

approved the draft NSSMC Resolution “On approval of the Procedure and Conditions for Conducting Rating Activities”.

Within the scope of supervision, the Commission:

made investors aware of the dubious investment projects “Bulenox” and “Taxtrade.”

Regarding the appointment of officials at professional market participants, the Commission:

approved the person responsible for financial monitoring at KUA AIVI INVESTMENT LLC;

approved a member of the Supervisory Board and the person responsible for internal auditing, as well as the person responsible for compliance management at KUA SUCHASNI FINANSOVI INSTRUMENTY LLC”;

refused to approve the appointment of the person elected as a non-executive member of the Board of Directors as an independent director entrusted with the duties of a Risk Manager at GONZO INVEST LLC.

Regarding registration and licensing issues, the Commission:

approved the draft charter and registration of the issue of shares of ZNVKIF LAKNAU JSC, ZNVKIF LYUSINA JSC, ZNVKIF LAVDAR JSC, ZNVKIF BUILDING DEVELOPMENT JSC for the purpose of forming the initial authorized capital;

registered the issue of shares of ZNVKIF OSNOVA CAPITAL JSC, carried out for the purpose of joint investment, and the prospectus for the issue of these shares.
