Key NSSMC decisions dated 25 Nov 2025

Within the scope of regulatory activities, the Commission:

• made changes to the membership of certain committees of the National Securities and Stock Market Commission.

Regarding registration and licensing issues, the Commission:

• registered a report on the results of the issuance of Series C bonds without a public offering by YAVIR-INVEST LLC;
• registered the issue of shares of ZNVKIF DENAL INVEST JSC, carried out for the purpose of joint investment, and the prospectus for the issue of these shares;
• registered the issue of shares of Fond dekarbonizatsii Ukrainy JSC (without a public offering);
• approved Appendix No. 5 to the prospectus for Series L corporate bonds, Appendix No. 7 to the prospectus for Series D corporate bonds, Appendix No. 7 to the prospectus for Series E corporate bonds, Appendix No. 10 to the prospectus for Series J corporate bonds, and Appendix No. 12 to the prospectus for corporate bonds Series B of NovaPay Credit LLC;
• approved the draft charter and registration of the issue of shares of ZNVKIF VL INVEST JSC and ZNVKIF CARPATHIAN CAPITAL JSC for the purpose of forming the initial authorized capital;
• approved amendments to the draft charters of VIDKRYTYI NEDERAZHAVNYI PENSIINYI FOND PRICHETNIST and of VIDKRYTYI NEDERZHAVNYI PENSIINYI FOND POKROVA.

Regarding the appointment of officials at professional market participants, the Commission:

• approved the person responsible for compliance and risk management at RIBEYL ASSET MANAGEMENT LLC;
• approved the applicant for membership of the National Bank of Ukraine’s Non-State Pension Fund Council.
