The NSSMC expects proposals from market participants regarding a number of important project solutions

The NSSMC (National Securities and Stock Market Commission) draws attention to a number of draft Resolutions that have been developed to implement the provisions of the law of Ukraine on Joint Stock Companies and relate to the activities of capital market participants.
The documents are approved and published on the regulator’s official website. Therefore, the NSSMC expects proposals and comments from market participants until January 31, 2023. It is about:
– draft Resolution on Approval of the Procedure for Convening and Conducting Electronic General Meetings of Shareholders,
– draft Resolution on Approval of the Procedure for Convening and Holding in-Person General Meetings of Shareholders,
– draft Resolution on Approval of the Procedure for Convening and Conducting Remote General Meetings of Shareholders,
– the draft Resolution on the Approval of the Regulation on the Disclosure of Information by Issuers of Securities, as Well as Persons Who Provide Security for Such Securities,
– draft Resolution on Approval of Amendments to Standard No. 1 «Corporate management in professional participants of capital markets and organized commodity markets. Basic concepts and terms».
– draft Resolution on approval of Amendments to Standard No. 2 «Corporate management in professional participants of capital markets and organized commodity markets. Organization and functioning of the internal control system in professional participants that are enterprises of public interest and that are not banks».
– draft Resolution on approval of Amendments to Standard No. 3 «Corporate management in professional participants of capital markets and organized commodity markets. Organization and functioning of the internal control system in professional participants that are systemically important professional participants and that are not banks».
– draft Resolution on approval of Amendments to Standard No. 4 «Corporate management in professional participants of capital markets and organized commodity markets. Organization and functioning of the internal control system in professional participants who do not belong to enterprises of public interest and systemically important professional participants».
The NSSMC hopes for activity and feedback from market participants. After all, the provided proposals will contribute to the effective implementation of the norms of the current legislation and the improvement of the activities of the participants themselves.
