Commission improved rules on joint investment

The NSSMC amended a number of regulatory acts to improve the regulation of joint investment activities and eliminate legal loopholes.

The relevant Resolution dated 27 June 2025 No. 09/21/2488/K03 was registered with the Ministry of Justice on 09 July 2025 under No. 1057/44463.

The Resolution provides for amendments to three key regulatory acts:

• Regulations on the management of assets of institutional investors — clarified requirements for the time limits of document transfer to a new AMC, actions of the parties when changing the asset management company, obligations regarding the storage of electronic copies of documents, as well as the procedure for signing agreements between an AMC and a corporate investment fund.

• Regulations on the registration of prospectuses for the issue of shares of CIFs — an additional deadline was set for the submission of documents for the registration of issues, and the possibility of signing decisions by a sole participant who is a natural person through an authorized representative was enabled.

• Regulations on the registration of the statute of a JII — clarified the list of documents to be submitted to the NSSMC in case of change of the custodian or AMC, or amendments to such agreements.

These changes will promote transparency, efficiency, and protection of interests of the market participants. The Commission keeps up its work for the sake of enhancing the transparency and efficiency of capital markets.
