Key NSSMC decisions dated 16 Apr 2026

In its rulemaking capacity, the Commission:

● approved a Commission reference note on the draft Law of Ukraine “On the Out-of-Court Resolution of Consumer Disputes”;
● approved a Commission reference note on the draft Law of Ukraine “On Amendments to Article 263 of the Civil Code of Ukraine”;
● approved the Commission reference note on the draft Law of Ukraine “On the Joint-Stock Company Skhidnyi Hirnycho-Zbahachuvalnyi Kombinat”;
● approved a Commission reference note on the draft Law of Ukraine “On the Specifics of Managing Legal Entities of Certain Organizational and Legal Forms whose Participants (Founders) Are Territorial Communities, District, and Regional Councils”;
● approved a Commission reference note on the draft Law of Ukraine “On Amendments to Certain Legislative Acts of Ukraine to Ensure Compliance with European Union Legislation and the Relevant Criteria Established by the European Payments Council, with a View to Ukraine’s Accession to the Single Euro Payments Area (SEPA)”;
● approved the Concept of the Law of Ukraine “On Financial Market Infrastructure”;
● amended the NSSMC Resolution No. 879 of 10 August 2023;
● adopted a Decision regarding the specifics of entering into and executing legal transactions concerning Ukraine’s external government borrowing during martial law;
● approved the draft NSSMC Resolution “On Amending the NSSMC Resolution No. 09/21/1418/K03 dated 14 November 2024”;
● approved the draft NSSMC Resolution “On Amending the NSSMC Resolution No. 1283 dated 25 September 2012”;
● endorsed the draft Resolution of the Cabinet of Ministers of Ukraine “On Amendments to the Resolutions of the Cabinet of Ministers of Ukraine No. 1673 dated 29 November 2006, and No. 604 dated 24 May 2024”;
● approved updates to the Requirements for the disclosure of financial reporting indicators in XBRL format for reporting entities that are capital market participants and professional participants in organized commodity markets;
● approved a Resolution on setting restrictions regarding securities of joint investment institutions;
● approved a Regulation on the status of implementation of the Rulemaking Plan of the National Securities and Stock Market Commission for Q1 2026.

In its oversight capacity, the Commission:

● updated a list of assets, including cash, belonging to clients/depositors of FREEDOM FINANCE UKRAINE LLC, which is subject to an “asset freeze” sanction.

Regarding registration and licensing issues, the Commission:

● registered the share issue by HALITSIYA DISTILLERY PrJSC without a public offering;
● registered the issues of Series N corporate bonds of “NovaPay Credit”, and approved their prospectuses;
● approved Appendix No. 4 to the prospectus for Series M corporate bonds, Appendix No. 9 to the prospectus for Series L corporate bonds, Appendix No. 11 to the prospectus for Series D corporate bonds, Appendix No. 11 to the prospectus for Series E corporate bonds, and Appendix No. 14 to the prospectus for Series J corporate bonds of NovaPay Credit LLC;
● registered a report on the results of the placement of shares of Joint Stock Company FREENET;
● updated the register of professional participants in capital markets and organized commodity markets regarding the provision of additional services by TTsP CRYPTEX JSC;
● registered the share issues of ZNVKIF MATIS JSC, ZNVKIF RANGAN JSC, and ZNVKIF TORSTEIN JSC, carried out for the purpose of joint investment, as well as the prospectus for the issuance of these shares;
● registered the prospectus for the issue and offering of investment certificates of ZNPIF C1 PLAZA POZNYAKI of KUA REIT C1 LLC;
● registered changes to the share issue prospectus, regulations, and registration of share issues of ZNVKIF BC INVESTMENT JSC and ZNVKIF DENAL INVEST JSC, as well as the replacement of certificates of registration for corporate investment fund share issues;
● approved draft charters and registrations of share issues of ZNVKIF FIDELIS JSC, ZNVKIF OSKAR JSC, ZNVKIF MAGNETICO JSC, ZNVKIF ASTAT INVEST JSC, ZNVKIF CONTYLIUM INVEST JSC, ZNVKIF KRYLA INVEST JSC for the purpose of forming the initial authorized capital;
● canceled the registration of the issue(s) of investment certificates, the prospectus(es) for the issuance of investment certificates, and a registration certificate for the issue of investment certificates of ZNVPIF Renaissance Trading of KUA EL. DI. ASSET MANAGEMENT LLC;
● approved the intention of a person/entity to acquire a qualifying holding in the professional capital market participant KUA AURUM LLC;
● confirmed that FK ZENIT-DT LLC and FK ZAKHIDINVEST LLC comply with the criteria specified in the Resolution of the Cabinet of Ministers of Ukraine No. 76 dated 27 January 2023.

Regarding the appointment of officials of professional market participants, the Commission:

● approved a person responsible for performing the duties of Compliance Manager of KUA-APF BROKBUSINESSINVEST PrJSC;
● approved a person responsible for performing the duties of Compliance Manager of KUA PROFIT LLC;
● approved the person elected a Member of the Supervisory Board of PRIKARPATSKA INVESTYTSIYNA KOMPANIYA PRINCOM PrJSC;
● approved the person appointed as Compliance Manager, a Member of the Supervisory Board, and a person responsible for performing the duties of Internal Auditor, the Chair of the Supervisory Board and a person performing the duties of Risk Manager and a Member of the Supervisory Board of KUA PRIME ASSETS MANAGEMENT LLC;
● approved a person responsible for financial monitoring at KUA ENERGIA-CAPITAL LLC;
● approved the person elected a Member of the Supervisory Board and a person responsible for the duties of Risk Manager at STATUS ASSET CAPITAL LLC;
● approved the Chair of the Supervisory Board of KUA-APF UKRSOC-CAPITAL LLC;
● approved a Member of the Supervisory Board of KUA KUA PORTOFIN.
