Key NSSMC decisions dated 20 May 2026

In its rulemaking capacity, the Commission:

● approved the draft Regulation of the Cabinet of Ministers of Ukraine “On the Adoption of the Strategy for the Development of Ukraine’s Circular Economy for the Period up to 2035 and the Approval of the Operational Plan for Its Implementation in 2026–2028”;
● reviewed a draft proposal from the Ministry of Economy, Environment, and Agriculture of Ukraine regarding accession to the Organization for Economic Cooperation and Development (OECD) Council Recommendation on Corporate Governance Principles;
● amended the NSSMC Resolution No. 09/21/1418/K03 dated 14 November 2024;
● approved amendments to the Procedure for disclosing information on transactions by executives;
● approved the Regulations on the procedure for preparing and submitting reporting data on the activities of investment firms to the NSSMC;
● approved the Amendments to the NSSMC Rulemaking Plan for 2026;
● approved a draft NSSMC Resolution “On Amending the Regulations on Disclosure of Information by Issuers of Securities and by Persons Providing Collateral for Such Securities”;
● endorsed the draft Resolution of the Cabinet of Ministers of Ukraine “On Amending the Procedure for Local Borrowing, approved by the Resolution of the Cabinet of Ministers of Ukraine No. 110 dated 16 February 2011”;
● endorsed the draft Regulation of the Cabinet of Ministers of Ukraine “On Submitting Proposals Regarding the Application of Personal Special Economic and Other Restrictive Measures (Sanctions)”;
● endorsed the draft Resolution of the Cabinet of Ministers of Ukraine “On Approval of the Plan for Interaction Among Entities of the National Critical Infrastructure Protection System”;
● endorsed the Resolution of the Cabinet of Ministers of Ukraine “On Amending the Regulations on Information Exchange Among Entities of the National Critical Infrastructure Protection System”;
● repealed the NSSMC Resolutions No. 26/21/4306/K01 dated 06 May 2026 (as amended) and No. 26/21/4307/K01 dated 06 May 2026;
● dissolved as a result of reorganization (transformation) the state-owned enterprise AGENCY FOR THE DEVELOPMENT OF THE STOCK MARKET INFRASTRUCTURE OF UKRAINE (business entity ID 21676262);
● approved the Measures to ensure implementation of the NSSMC Resolution on the reorganization of the State-Owned Enterprise Agency for the Development of the Stock Market Infrastructure of Ukraine;
● approved changes to the NSSMC’s organizational structure, pay structure and staff list for 2026.

In its oversight capacity, the Commission:

● updated a list of assets, including cash, belonging to clients/depositors of FREEDOM FINANCE UKRAINE LLC, against which an “asset freeze” sanction is imposed;
● approved reports on the implementation of the financial plan of the State-Owned Enterprise State Agency for the Development of the Stock Market Infrastructure of Ukraine for Q4 2025, the year of 2025, and Q1 2026;
● approved an independent audit of the financial statements of the State-Owned Enterprise Agency for the Development of the Stock Market Infrastructure of Ukraine for 2025 and the draft terms of reference;
● granted a special permit to conduct a comprehensive list of transactions involving RNK VERES PJSC securities.

Regarding registration and licensing issues, the Commission:

● registered the issue of shares of ZNVKIF TAURUS JSC, ZNVKIF BURGUNDY JSC, and ZNVKIF AVELINO JSC, carried out for the purpose of joint investment, as well as the prospectus for the issuance of these shares;
● approved the draft charter and the registration of the issuance of shares of ZNVKIF SPECTR JSC, ZNVKIF ALVENTO JSC, ZNVKIF VENETO JSC, ZNVKIF MONTENERO JSC, ZNVKIF MARBELO JSC, ZNVKIF FLORENSO JSC, ZNVKIF SEZAV CAPITAL JSC, ZNVKIF VINTAGE CAPITAL JSC, ZNVKIF LORIMOR JSC, ZNVKIF ERID CAPITAL JSC, ZNVKIF BRAUNLI JSC for the purpose of forming the initial authorized capital;
● approved the Amendments to the Resolution on the issuance of Series A bonds by COMPANY INVEST FINANCE LLC;
● registered the issuance of registered Series A corporate bonds by FINANSOVA KOMPANIIA STARMIY (without a public offering);
● registered the issuance of shares of GARANOVANYI POKUPETS JSC;
● registered a report on the results of the share issuance without a public offering of KHOLDINGOVA KOMPANIIA KYIVMISKBUD PrJSC;
● registered a report on the results of the issuance of registered corporate bonds of Series D by AZURRO FINANCE LLC;
● confirmed that URB LLC, ROZRAKHUNKOVYI TSENTR PJSC, and PAPF JSC comply with the criteria specified in the Resolution of the Cabinet of Ministers of Ukraine No. 76 of 27 January 2023;
● registered a report on the results of the issuance of shares of PERSHYI INVESTUTSIYNYI BANK JSC.

Regarding the appointment of the officials of professional market participants, the Commission:

● approved the person elected as a Member of the Board of Directors—chief executive officer; the person elected as a Member of the Board of Directors — executive director; the person elected as a Member of the Board of Directors — non-executive director, who responsible for performing the duties of Internal Auditor of FINANSOVA KOMPANIIA KNIAHYNIA YAROSLAVNA PrJSC;
● approved the Internal Auditor of KUA TA APF UKRMASHINVEST LLC;
● approved the person responsible for performing the duties of Compliance Manager of KUA INVESTIUM LLC;
● approved the Internal Auditor of KUA TEMP LLC;
● approved the person responsible for financial monitoring at KUA GARANTIA LLC;
● approved the person responsible for performing the duties of Compliance Manager at KUA UNION ACTIVE LLC;
● approved the person responsible for performing the duties of Risk Manager at FINANSOVA KOMPANIIA UKRRESTAVRATSIIA LLC.
