Key NSSMC decisions dated 29 Apr 2026

In its rulemaking capacity, the Commission:

● approved the Commission reference notes on the draft Laws of Ukraine “On the Principles of Ukraine’s Sanctions Policy” and “On Amendments to the Law of Ukraine ‘On Sanctions’ and Other Laws of Ukraine Regarding the Improvement of Mechanisms for State Sanctions Policy”;
● approved the Commission reference note on the draft Law of Ukraine “On the Ratification of the Declaration on the Conclusion of Negotiations on Domestic Regulation of Services and the Enhanced Schedule of Specific Commitments in the Field of Services of Ukraine”;
● approved the Commission reference note on the draft Law of Ukraine “On Amendments to the Civil Code of Ukraine Regarding the Improvement of Corporate Governance in Private-Law Legal Entities” (registration No. 15148 dated 09 April 2026);
● approved the Commission reference note on the draft Law of Ukraine “On Amendments to Existing Legislation Regarding the Improvement of Corporate Governance in Companies” (registration No. 15149 dated 09 April 2026);
● approved the Commission reference note on the draft Civil Code of Ukraine (registration No. 15150 dated 09 April 2026);
● approved the Regulations on the procedure for reporting by depository institutions to the National Securities and Stock Market Commission;
● approved amendments to certain regulatory legal acts of the National Securities and Stock Market Commission on rating;
● approved amendments to the Rulemaking Plan of the National Securities and Stock Market Commission’s Regulatory Agenda for 2026;
● approved the draft NSSMC Resolution “On Amending the Resolution of the National Securities and Stock Market Commission No. 09/21/3370/K03 dated 16 December 2025”;
● endorsed the draft Regulation of the Cabinet of Ministers of Ukraine “On the Approval of the Draft Letter from the Government of Ukraine to the Organization for Economic Cooperation and Development Regarding the Request to Accede to the OECD Council Recommendation on Financial Literacy”;
● endorsed the draft Order of the Ministry of Finance of Ukraine “On Approval of the Amendments to the Corporate Income Tax Return Form”;
● amended the Regulations on the recording and review of administrative offense cases by the National Securities and Stock Market Commission;
● made changes to the composition of the Ethics Committee of the National Securities and Stock Market Commission;
● reviewed the draft Resolution of the Cabinet of Ministers of Ukraine on certain issues regarding the joint-stock company Natsionalna aktsionerna kompaniia Naftogaz Ukrainy.

In its supervisory capacity, the Commission:

● updated a list of assets, including funds, belonging to clients/depositors of FREEDOM FINANCE UKRAINE LLC, to which a sanction in the form of “asset freezing” is applied.

Regarding registration and licensing, the Commission:

● approved Appendix No. 1 to the prospectus for Series N corporate bonds, Appendix No. 5 to the prospectus for Series M corporate bonds, Appendix No. 10 to the prospectus for Series L corporate bonds, and Appendix No. 12 to the prospectus for Series D corporate bonds, and Appendix No. 12 to the prospectus for Series E corporate bonds of NovaPay Credit LLC;
● approved changes to the resolution on the issuance of Series A bonds of AZURRO FINANCE LLC;
● Approved amendments to the resolution on the issuance of Series D bonds of LLC “CREDITSERVICE”;
● Approved amendments to the resolution on the issuance of Series A bonds of LLC “FASTFINANCE”;
● revoked a license to conduct professional activities in the capital markets — depository activities by the depository institution UKRAINACAPITAL LLC;
● revoked a license to conduct professional activities in the capital markets by UKRGASBANK JSB;
● extended the period of appointment of a licensee’s interim manager for the duration of martial law;
● registered the prospectus and issuance of investment certificates of ZNVPIF ENKRAFT of KUA CONCORD INVEST LLC;
● registered the share issues of ZNVKIF LAKHNAU JSC, ZNVKIF STANDARD INVEST JSC, ZNVKIF ARMION JSC, ZNVKIF DILS JSC, ZNVKIF MILANO JSC, ZNVKIF LAVDAR JSC, ZNVKIF SCALES JSC, ZNVKIF HARBIN JSC, and ZNVKIF INARI JSC, carried out for the purpose of joint investment, as well as their prospectuses;
● canceled the registration of the share issue and revoked a temporary certificate of registration of the share issue for the purpose of forming the initial authorized capital of ZNVKIF PHOENIX FINANCE JSC;
● canceled the registration of the issue(s) of shares and the prospectus(es) for the issuance of shares and revoked a certificate of registration of the issue of shares of ZNVKIF ATLAS JSC;
● approved the draft charters and registered share issues of ZNVKIF CONCORDIA TRUST JSC, ZNVKIF PROUD INVEST JSC, ZNVKIF VL CAPITAL HOLDING IMMOBILIEN JSC, ZNVKIF VICTORY DEVELOPMENT GROUP JSC, ZNVKIF INVESTMENTS AGRICULTURAL MACHINERY JSC, ZNVKIF ROX CAPITAL JSC, ZNVKIF RINO JSC, ZNVKIF TURAN JSC, ZNVKIF PALATIN JSC, ZNVKIF SHARKFEST JSC for the purpose of forming the initial authorized capital;
● established that KUA AKTYVNI INVESTYTSII does not comply with the criteria specified in the Resolution of the Cabinet of Ministers of Ukraine No. 76 dated 27 January 2023.

Regarding the appointment of the officials of professional market participants, the Commission:

● approved the person elected a Member of the Board of Directors—a non-executive director, responsible for the duties of Internal Auditor of INTER-SERVICE-REGISTER LLC;
● approved the person temporarily exercising the powers of the Chairman of the Management Board of FINANSOVA KOMPANIIA UKRNAFTOGAZ PrJSC;
● approved the person appointed to the position of Internal Auditor of Fondova Birzha PFTS JSC;
● approved the person responsible for the duties of Compliance Manager and Risk Manager at DOMINANTA TRADE LLC;
● approved the person appointed to the position of Internal Auditor of INVEST-M LLC;
● approved the Chair of the Supervisory Board and a Member of the Supervisory Board responsible for the duties of Internal Auditor of ENERGETYCHNA REYESTRATSTIYNA KOMPANIIA LLC;
● approved the person elected as Chair of the Supervisory Board, and the person elected as a Member of the Supervisory Board responsible for the duties of Risk Manager at TESLA CAPITAL MANAGEMENT LLC;
● approved the Chair of the Supervisory Board and two Members of the Supervisory Board of FK DALIZ-FINANCE JSC;
● approved the Chair of the Supervisory Board and two Members of the Supervisory Board of KUA TA APF DALIZ-FINANCE JSC;
● approved the person responsible for performing the duties of Compliance Manager at KUA DIKV-L JSC;
● approved the person responsible for performing the duties of Risk Manager, and the person responsible for performing the duties of Compliance Manager at KUA EFEKTYVNI INVESTYTSII JSC;
● approved the person responsible for performing the duties of Risk Manager, the person responsible for performing the duties of Compliance Manager, and the Internal Auditor of KUA ENERGIIA CAPITAL JSC;
● approved the person responsible for performing the duties of Internal Auditor, the person responsible for performing the duties of Risk Manager at KUA KARPATY-INVEST PrJSC;
● approved the person elected to the position of Chair of the Supervisory Board, and the person elected as a Member of the Supervisory Board of KUA STRATEGIIA ROZVYTKU LLC.
