The National Securities and Stock Market Commission has approved two draft amendments to the regulations governing the activities of collective investment institutions (CIIs). The proposed amendments are intended to simplify the preparation and submission of documents by asset management companies and funds, as well as to clarify certain requirements for registration procedures.

Specifically, the amendments pertain to the registration of prospectuses and the issuance of mutual fund investment certificates, as well as the Regulations of CIIs.

A prospectus is a document that contains key information about a securities issuance and the terms of the placement. It provides investors with the information they need to evaluate the investment and the risks associated with it.

One of the proposed changes concerns comparative tables. It is proposed that they be excluded from the list of documents to be submitted when amending the regulations of a CII, as well as the prospectus and the regulations of a mutual fund. This will reduce the volume of documents that must be prepared and submitted to the Commission.

Separately, the procedure for submitting documents for the registration of a prospectus and the issuance of mutual fund investment certificates is specified. Investment certificates confirm an investor’s participation in a mutual fund and their right to a share in the fund’s assets in proportion to the number of certificates purchased. An asset management company must submit an application and the required documents no later than 30 business days before the expiration of the relevant deadline.

The Commission also specifies the list of documents that a corporate fund must submit when making changes to its statute — for example, when changing the fund’s name.

If, during the review of documents, the information specified in the submitted certificates changes, the fund must provide the Commission with updated certificates no later than the third business day following the occurrence of such changes.

As a result, the proposed amendments should make the procedures clearer for market participants, reduce unnecessary paperwork, and more clearly define the requirements for submitting documents.

These draft regular legal acts are available on the Commission’s website. Proposals and comments may be submitted through 14 October 2026. Once approved by the Commission, the regular legal acts will be submitted to the Ministry of Justice of Ukraine for state registration.
