Key NSSMC decisions dated 27 May 2026

In its rulemaking capacity, the Commission:

● approved a Commission reference note on the draft Law of Ukraine “On the Principles of Operation of the National Greenhouse Gas Emission Allowance Trading System”;
● approved the Amendments to the NSSMC Reference Guides and Classifiers System;
● endorsed the Resolution of the Cabinet of Ministers of Ukraine “On the Approval of the List of Foreign Stock Exchanges on Which Shares of International Financial Organizations and Legal Entities (Except for Legal Entities Residents of the Russian Federation, the Republic of Belarus, the Islamic Republic of Iran, the Democratic People’s Republic of Korea, as well as Other States Recognized by the Verkhovna Rada of Ukraine as an Aggressor State or an Occupying State) are Traded”;
● approved the Amendments to the NSSMC Rulemaking Plan for 2026;
● approved the draft NSSMC Resolution “On Amending Certain NSSMC Resolutions Regarding Law Enforcement”;
● approved the draft NSSMC Resolution “On Amending the NSSMC Resolution No. 15/21/4016/K03 dated 25 March 2026”;
● approved an analytical report on the Commission’s activities and the state of capital markets and organized commodity markets in Q1 2026;
● endorsed the draft Order of the Economic Security Bureau of Ukraine “On Approving the Economic Risks Assessment Methodology”;
● approved the amendments to the charter of NATIONAL DEPOSITORY OF UKRAINE PJSC.

In its supervisory capacity, the Commission:

● informed investors about the dubious investment projects “Alantra Capital Markets (ACM)” and “Evoltex”;
● amended a list of assets, including cash, belonging to clients/depositors of FREEDOM FINANCE UKRAINE LLC, against which a sanction in the form of “asset freezing” is imposed;
● revoked the authorization of RA EXPERT-RATING LLC, and removed the company from the Register of Authorized Rating Agencies.

Regarding registration and licensing matters, the Commission:

● suspended trading in Series D, E, F, G, H, I, J, and K bonds issued by MARTIN LLC;
● registered the issuance of shares by OXY BANK JSC (without a public offering);
● canceled the registration of the issue(s) of investment certificates, the prospectus (prospectuses) for the issuance of investment certificates, and a registration certificate for the issue of investment certificates of the closed-end non-diversified venture capital investment fund CAPITAL of KUA TASK – Invest LLC;
● established that KUA APF UKRMASHINVEST LLC does not comply with the criteria specified in the Resolution of the Cabinet of Ministers of Ukraine No. 76 dated 27 January 2023;
● established that FK KYIV INVEST CAPITAL LLC does not comply with the criteria specified in the Resolution of the Cabinet of Ministers of Ukraine No. 76 dated 27 January 2023, and revoked its status as a company critical to the functioning of the economy and the provision of essential services to the population during a special period.

Regarding the appointment of the officials of professional market participants, the Commission:

● approved the person appointed as Director and the person responsible for performing the duties of Risk Manager at KUA AKTIV LLC;
● approved the Director, three Members of the Supervisory Board, the Chair of the Supervisory Board, and the Internal Auditor of KUA INVESTYTSIYNYI KAPITAL UKRAINA LLC;
● approved three Members of the Supervisory Board, the Chair of the Supervisory Board, and the Internal Auditor of KUA – APF APINVEST LLC;
● approved the Internal Auditor of KUA MIZHNARODNA INVESTYTSIYNA NF BUDIVELNA KOMPANIIA LLC;
● approved the person responsible for performing the duties of Compliance Manager, and the person responsible for performing the duties of Risk Manager at KUA TEMP LLC;
● approved the Risk Manager of KUA APF BROKBUSINESSINVEST PrJSC;
● approved the person responsible for performing the duties of Compliance Manager at KUA REIT C1 LLC”;
● suspended the licenses for conducting professional activities in the capital markets — trading in financial instruments of FK GARANT-INVEST LLC.
